These Terms & Conditions ("Terms") are an agreement between you and Yojika Systems Private Limited, a private limited company incorporated in India under the Companies Act, 2013, referred to below as "we", "us" or "our". They govern your use of the Yojika applications for Windows and Android ("the App"), the website at yojika.com, and any licenses you purchase. By downloading, activating or using Yojika, you agree to these Terms. If you do not agree, please do not use Yojika.
1. What Yojika is
Yojika is offline-first GST billing software licensed to Indian small businesses on a subscription basis. It runs on Windows desktops and on Android phones, and is published by Yojika Systems Private Limited. A license grants you the right to use the App on the number of devices set out in section 3, for the duration of the license.
2. Free trial
You may start a free 14-day trial from inside the App using your name, email and phone number. One trial is allowed per device and per email address. At the end of the trial the App requires a paid license to continue creating invoices. Your data remains on your device whether or not you purchase a license.
3. Licenses and plans
Licenses are sold per product, for a one-year or a three-year term:
- Desktop — ₹3,999 for 12 months, or ₹9,999 for 36 months. Yojika for Windows — the full billing counter.
- Mobile — ₹1,999 for 12 months, or ₹4,999 for 36 months. Bill on the move from your Android phone. Not yet on sale.
- Desktop + Mobile — ₹5,999 for 12 months, or ₹14,999 for 36 months. Both apps, one licence — the counter and the road. Not yet on sale.
Mobile and Desktop + Mobile are shown here for transparency but are not currently available to buy. Only plans offered for purchase at checkout can be ordered, and the price charged is the price shown at checkout.
All prices are in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise. Prices may change for new purchases and renewals; the price you paid is fixed for the term you bought.
Your license term starts when your payment is confirmed, not when you first activate the App. A 12-month license bought on 1 January expires on 1 January the following year even if you install Yojika in March, so please activate soon after buying.
A license is for use by a single business and covers a fixed number of simultaneously activated devices. Desktop and Mobile each cover one device. The Desktop + Mobile combo covers two devices in total — the two slots are not reserved one per device type, so two Windows PCs, two Android phones, or one of each all count the same against the limit.
When you activate on a device beyond that limit, the license automatically releases the slot that has gone longest without being used — whatever type of device holds it — and binds the new device. This can release a device you are still relying on. For example, a combo license live on your counter PC and your phone, when activated on a second phone, releases whichever of the first two was least recently seen; if that is the counter PC, it will be the counter PC that stops being licensed, mid-trading-day. A released device simply needs re-activating (which in turn releases the then-oldest slot). Re-activating a device that already holds a slot releases nothing. Optional Cloud Sync, where offered, keeps your own devices in step and is described in our Privacy Policy.
4. Coupons and free licenses
We may issue coupon codes (percentage or flat discounts, extra months, or free promotional licenses for affiliates). Coupons are subject to their own validity window and usage limits, are non-transferable, hold no cash value, and may be withdrawn at any time. Free promotional licenses are valid only for the period stated when they are issued.
5. Payment and delivery
Payments are collected securely by Razorpay. When your payment is confirmed, your license key is generated automatically, emailed to you, and shown in your account. Yojika is delivered electronically only — there is no physical shipment; see our Shipping & Delivery Policy for timings and what to do if a key does not arrive. If a key has not reached you within a few minutes of a successful payment, contact [email protected] and we will resolve it.
6. Renewals
Licenses do not auto-renew. When a license nears expiry, you can renew it from your account; the new expiry date reaches the App automatically. If you choose not to renew, the App stops creating new invoices, but your existing data stays on your PC and remains accessible for viewing and backup.
7. Refunds
Refunds are governed by our Refund & Cancellation Policy. In summary, first-time purchases carry a 7-day money-back window and renewals are non-refundable; the free 14-day trial lets you evaluate the App fully before paying.
8. Acceptable use
You agree not to:
- Copy, resell, sublicense or redistribute the App or license keys except as expressly permitted.
- Reverse-engineer, tamper with, or attempt to bypass licensing, trial limits or device binding.
- Use Yojika for any unlawful purpose or to produce false or fraudulent tax documents.
We may suspend or revoke a license used in breach of these Terms.
9. Your data and responsibility for backups
Because Yojika is offline-first, your business data is stored on your own computer and is your responsibility. We strongly recommend keeping regular backups (the App includes backup tools). We are not responsible for data loss caused by hardware failure, deletion, malware or your failure to keep backups.
10. Warranty disclaimer
Yojika is provided "as is" and "as available". While we work hard to keep tax calculations correct and the App reliable, we do not warrant that it will be error-free or uninterrupted. You are responsible for reviewing your invoices and returns for accuracy. Yojika is a tool and does not constitute tax, legal or accounting advice.
11. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or relating to Yojika is limited to the amount you paid us for the license term during which the claim arose — for a three-year plan, the full amount paid for that three-year term, not a single year of it. We are not liable for indirect, incidental or consequential losses, including loss of profit, data or goodwill.
12. Changes to these Terms
We may update these Terms from time to time. Continued use of Yojika after an update constitutes acceptance of the revised Terms.
13. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with them is subject to the exclusive jurisdiction of the competent courts in India.
